TERMS AND CONDITIONS OF SALE.

ACCEPTANCE: All quotations are subject to acceptance by W.E.S.T. Term of validation to be thirty days or as specified on quotations.
MINIMUM ORDER: $50.00 Net.
WARRANTY: W.E.S.T. guarantees its products against defects in workmanship and materials for a period of 12 months from date of shipment. This warranty applies only to such equipment that has been properly installed (Not if by others), used within the limitations set forth in W.E.S.T. literature, subjected to use within parameters set by original design requirements, properly lubricated and maintained, and remains the property of the original purchaser. W.E.S.T. shall not be held liable for any further cost or expense, or indirect or consequential damages. The 12 month warranty applies to all equipment manufactured by W.E.S.T. Guarantees on all other parts and equipment will carry their respective manufacturer's warranty.
PRICES: Prices are all F.O.B. shipping point or W.E.S.T. unless otherwise stated, and are subject to change due to increase in material costs, and will be invoiced at prevailing prices at time of order.
CANCELLATION: Orders placed as a result of a proposal are subject to cancellation by mutual consent or W.E.S.T. only and then, only on terms that will indemnify W.E.S.T. against loss. (Some special order items may not be cancelled.)
CANCELLATION CHARGES: Orders cancelled prior to material purchased or labour incurred will be charged a $50.00 handling charge. Orders or portions there of cancelled prior to shipment will be charged for:
1. $50.00 handling charge.
2. Restockable materials at 20% of net price on standard stock items only.
3. Non restockable material at value at time order is cancelled.
4. Labour and engineering expended at rates in effect at the time the work was performed.
SHIPPING: If specific shipping instructions are not shown on the purchase order, routing will be at the discretion of our traffic department. All reasonable care will be used in shipping the equipment and W.E.S.T. will endeavour to make shipment within the time estimated, but assumes no responsibility for loss or damage to the equipment after shipment from its plant, source of origin or for claims arising from later delivery, or due to circumstances beyond its control.
DELIVERY: Delivery dates are based on normal expectancy and are approximate. Also subject to fire, accidents, procurement of materials, and other causes which are unavoidable or beyond our control and any such contingency shall excuse any delay in delivery or any failure to fill any order.
RETURNS: Goods may be returned for credit only if in good condition and after prior written approval from W.E.S.T. Non-standard items are not returnable. Returned goods are subject to restocking charges and must be shipped PREPAID to point of origin. Customs document fees may apply if cross border shipped.
CLAIMS: All claims for replacement or shortages must be made in writing within 15 days from receipt of shipment. W.E.S.T. shall then have the option of reinspection at the end user's establishment before allowing or rejecting the claim. Replacements furnished on allowable claims are F.O.B. shipping point or W.E.S.T. Expenses incurred in connection with claims for which W.E.S.T. is not liable may be charged to the purchaser. No claims for correction will be allowed except for work done with the written consent of W.E.S.T. assumes no liability for loss of time or other consequential damages occasioned by failure of the equipment whatever the cause.
FREIGHT CLAIMS: Since all shipments are F.O.B. shipping point or W.E.S.T., it is imperative that the user or distributor file freight claims immediately in the event of damage or loss incurred during shipment.
INSTALLATION: W.E.S.T. assumes no responsibility for improper operation of equipment when considered by W.E.S.T. to be a result of faulty installation when equipment is installed by others.
SALES TERMS AND CONDITIONS: The aforementioned terms and conditions are the only ones accepted by W.E.S.T. unless agreed to otherwise in writing. W.E.S.T. representatives are not authorized to extend changes in terms or conditions, or to vary specifications or prices. All prices quoted do not include G.S.T. or Provincial Tax, licenses, building permits, etc. which may be applicable by law to this contract. These must be paid by the purchaser of the said equipment. The purchaser must insure equipment will be provided with adequate lubrication to all parts and components and to ensure that all gear units are topped with oil and properly maintained as such. W.E.S.T. will provide necessary safety devices as specified, any further safety devices, required by purchaser will constitute an extra to our tender.
In all matters pertaining to any proposal/quotation the laws of the Province of Alberta shall apply. Any changes or additions to W.E.S.T. equipment after approval of documents or drawings will be considered an amendment to tender. Unless otherwise specified in the tender all electrical, pneumatic, hydraulic or other services or control equipment which may be necessary for the functional operation of W.E.S.T. equipment will be supplied by others.
Proposals are open for acceptance by purchaser within the period stated on the proposal.
DESIGN AND APPLICATION RESPONSIBILITY:
W.E.S.T. will take responsibility for the design and application of the equipment when:
1. The data submitted by the customer is accurate and complete, with all related conditions submitted in writing.
2. The equipment is installed per the layout drawing and according to W.E.S.T. installation and maintenance standards and utilized in a manner that is consistent with what was quoted or ordered.
3. All dimensions and tolerances, unless otherwise specified herein, are to conform to CEMA standards.
4. Selection, sizing, and pricing of the noted equipment or services are based upon sketches, drawings, or your written or verbal specifications. W.E.S.T. assumes no responsibility for design or performance of equipment designed, engineered, or specified by others. Final design is to be determined based upon detailed information regarding final arrangements and/or approved detail drawings of final layout arrangements.
PRICE CHANGES: Prices shown in any publication are subject to change without notice and are not to be construed as a definite quotation or offer to sell by the company. Such literature is maintained only as a source of general information for our distributors' use.
WEIGHTS AND DIMENSIONS: Published weights are careful estimates or averages and are sufficiently accurate for most uses. Any dimensions shown are subject to change without notice; if extreme accuracy is required, additional data can be supplied.
QUOTATIONS: All written quotations are valid for the term as specified. However, all quotations are subject to change within the date specified and subject to availability of products and material as quoted.
TERMS OF PAYMENT: Terms of payment are as specified on the proposal. Deposit required on all Special order items. An interest charge of 2% per month (24% per annum) will be charged on overdue accounts. All material or parts supplied will remain the property of W.E.S.T. until payment is made in full. Any credit situations will not be accepted unless approved in writing by W.E.S.T. management. (Updated May 2001) All Foreign shipments must be prepaid unless other agreements are made at time of purchase. A handling and document charge will apply to foreign shipments of less than five hundred US dollars.
